Terms of Service

1. Acceptance of Terms

By accessing and using PixelTakeoff software ("the Software"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Software.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with your purchased license tier (Trial, Professional, or Enterprise).

Trial License: Valid for 7 days from activation date, includes all features, limited to 1 device.

Professional License: Annual subscription, includes all features, limited to devices specified in your license.

Enterprise License: Custom terms as specified in your agreement.

3. License Restrictions

You may not:

• Modify, reverse engineer, decompile, or disassemble the Software
• Share your license key with unauthorized users
• Use the Software on more devices than permitted by your license
• Remove or modify any proprietary notices or labels on the Software
• Use the Software for any illegal or unauthorized purpose
• Attempt to circumvent license validation or security measures

4. Trial Licenses

Trial licenses are provided for evaluation purposes only. Each user/organization is entitled to one trial license. Trial licenses expire after 7 days and cannot be extended or renewed.

5. Payment and Billing

Professional licenses are billed annually. Enterprise licenses follow custom billing terms. All fees are non-refundable except as required by law or as explicitly stated in your agreement.

6. License Validation

The Software may periodically communicate with our license validation servers to verify your license status. This requires an internet connection. We collect minimal information necessary for license validation including license key, device ID, and validation timestamp.

7. Termination

We may terminate or suspend your license immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Software will immediately cease.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Updates and Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Software. Your continued use of the Software after such modifications constitutes acceptance of the updated Terms.
